These Terms of Service ("Terms") govern your use of the Scout platform operated by Scout Social LLC, a Delaware limited liability company ("Scout," "we," "us," or "our"), accessible at scoutonight.com, scoutyourcity.com, their subdomains, and related services (collectively, the "Service"). By accessing or using Scout, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Scout is a social event discovery service that curates event listings in supported United States cities. We collect and organize publicly available event data from third-party sources and present it in a personalized feed. Scout does not host, organize, or produce events unless a listing expressly says otherwise.

2. Eligibility

You must be at least 18 years old to create an account or join the Scout waitlist. By creating an account or joining the waitlist, you represent that you meet this age requirement.

To access personalized features, you may create an account using SMS one-time-password (OTP) verification. You are responsible for maintaining the security of your phone number and account. You agree to:

Scout aggregates event information from publicly available third-party sources. We do not claim ownership of third-party event content. Event details (names, dates, venues, descriptions, images) are sourced from public listings and may be edited for clarity or formatting.

Accuracy disclaimer: We make reasonable efforts to present accurate event information, but we do not guarantee the accuracy, completeness, or timeliness of any event listing. Events may be cancelled, rescheduled, or changed by organizers without notice to us. Always verify event details with the organizer or venue before attending.

6. User-Generated Content

When you interact with the Service — for example, by upvoting events or (in the future) posting comments — you grant Scout a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, and distribute that content in connection with operating and promoting the Service. You retain ownership of your content. You represent that you have the right to grant this license for any content you submit.

7. Intellectual Property

The Scout name, logo, design, and original software are the property of Scout Social LLC. You may not use our trademarks, branding, or proprietary materials without written permission. Nothing in these Terms grants you any right to our intellectual property except the limited right to use the Service as intended.

If you are an event organizer and believe that your content has been included on Scout in a way that infringes your copyright or other rights, you may submit a takedown request to:

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SCOUT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Scout is an aggregator, not an event organizer. We are not responsible for the quality, safety, legality, or any other aspect of events listed on the platform. Attendance at any event is at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCOUT SOCIAL LLC, ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100 USD).

11. Indemnification

You agree to indemnify, defend, and hold harmless Scout Social LLC and its officers, members, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Dispute Resolution and Arbitration

Binding arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered in the State of Delaware, in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted on an individual basis.

No class actions: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against Scout.

Small claims exception: Either party may bring an individual action in small claims court in Delaware if the claim qualifies.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

14. Termination

We may suspend or terminate your account at any time, with or without notice, for conduct that we determine violates these Terms or is otherwise harmful to the Service, other users, or Scout. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Sections 6 through 13) will survive.

15. Modifications

We may update these Terms from time to time. If we make material changes, we will notify users through the Service or by other reasonable means. Your continued use of Scout after updated Terms take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, stop using the Service.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Scout Social LLC regarding the Service, and supersede any prior agreements.
